1. Introduction & Acceptance
Welcome to Panha.live (“Panha”, “we”, “us”, or “our”). Panha is a peer-support platform that connects individuals seeking emotional support with trained Panha Buddies.
By registering as a Panha Buddy, accessing the platform, or accepting any role or compensation through Panha, you (“Buddy”, “you”) confirm that you have read, understood, and agreed to these Terms and Conditions in full.
We reserve the right to update these Terms at any time. Continued participation after notice of changes constitutes acceptance.
2. Nature of the Relationship
You are a Panha Buddy Partner — NOT an employee, contractor, or agent of Panha.live.
As a Panha Buddy, you participate in the platform as an independent partner. This relationship does not create:
- An employer-employee relationship
- Entitlement to employee benefits, insurance, or labor protections
- Any right to represent Panha in any legal or official capacity
You are solely responsible for your own taxes, insurance, and compliance with applicable local laws arising from your participation as a Panha Buddy.
3. Panha Buddy Roles
3.1 Panha Buddy Promotor
A Promotor helps grow the Panha community by introducing the platform to potential users and Buddies.
- You represent Panha in good faith and with accuracy.
- You do not make promises or commitments on behalf of Panha beyond official materials.
- Your role is promotional only; you do not provide peer support sessions.
- Referral incentives are subject to the Promotor Compensation Schedule.
3.2 Panha Buddy Peer Supporter
A Peer Supporter provides trained, non-clinical emotional support and active listening to users.
- Requires completion of Panha’s approved training before conducting sessions.
- You are a peer — not a licensed therapist, counselor, or medical professional.
- You will not provide clinical advice, diagnoses, or treatment.
- You may not solicit users for private sessions outside the platform.
4. Training Requirements
Peer Supporters must complete Panha’s designated training before being activated on the platform. Training covers active listening, boundaries, safeguarding, and crisis referral protocols.
Training completion does not guarantee placement or earnings. Panha reserves the right to:
- Decline activation of any Buddy following training, at its sole discretion
- Require re-training or refresher courses at any time
- Revoke a Buddy’s active status if conduct standards are not maintained
Training fees, if any, are non-refundable once the training programme has commenced.
5. Payments & Non-Refundable Policy
5.1 No Refund Policy
All payments made to Panha — including but not limited to registration fees, training fees, subscription fees, or platform access fees — are strictly non-refundable once processed.
- All transactions are final and non-reversible.
- No refunds will be issued for change of mind, inability to complete training, inactivity, or account termination.
- Partial refunds are not available under any circumstances.
- Panha does not offer trial periods, cooling-off windows, or money-back guarantees.
5.2 Buddy Earnings
Buddy earnings (session payments, referral commissions, bonuses) are subject to the applicable Compensation Schedule published on the platform. Earnings:
- Are paid according to Panha’s payment schedule and minimum threshold requirements
- May be withheld or forfeited in the event of a breach of these Terms
- Are the Buddy’s sole responsibility for tax reporting purposes
- Are not guaranteed and may change with notice from Panha
5.3 Chargebacks & Disputes
Initiating a chargeback, payment dispute, or reversal without first contacting Panha support will be treated as a material breach of these Terms and may result in immediate account termination and legal action to recover costs.
6. Code of Conduct
All Panha Buddies must uphold the following standards at all times:
- Treat all users and fellow Buddies with dignity, respect, and empathy
- Maintain strict confidentiality of all user information and session content
- Operate within your role boundaries; do not exceed your scope as a peer supporter or promotor
- Report safeguarding concerns to Panha immediately using the designated channels
- Refrain from any discriminatory, abusive, sexual, or harmful behaviour
- Do not promote, sell, or solicit third-party services during sessions or on the platform
- Do not share Panha’s proprietary content, training materials, or user data with third parties
7. Confidentiality & Privacy
You agree to maintain complete confidentiality regarding:
- User identities, session details, and any personal information shared with you in your role
- Panha’s internal processes, training materials, pricing, and business strategy
- Other Buddies’ personal information
This confidentiality obligation survives the termination of your participation on the platform indefinitely.
8. Intellectual Property
All content, training materials, branding, logos, methodologies, and platform features are the exclusive property of Panha.live or its licensors. As a Buddy, you are granted a limited, non-exclusive, non-transferable licence to use platform materials solely for your approved Buddy activities.
You may not reproduce, distribute, modify, or create derivative works from Panha’s materials without prior written consent.
9. Suspension & Termination
Panha reserves the right to suspend or permanently terminate your Buddy account, with or without notice, if you:
- Breach any provision of these Terms and Conditions
- Engage in conduct that harms users, Panha, or the wider community
- Fail to maintain required training or certification standards
- Initiate unauthorised chargebacks or payment disputes
- Misrepresent your qualifications, role, or Panha’s services
Termination does not entitle you to any refund of fees paid, and any outstanding obligations under these Terms remain in force.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Panha.live and its directors, officers, employees, and partners shall not be liable for:
- Any indirect, incidental, consequential, or special damages arising from your participation as a Buddy
- Loss of earnings, opportunity, or reputation
- User outcomes or third-party claims arising from sessions you conduct
You agree to indemnify and hold harmless Panha.live from any claims, liabilities, damages, or costs arising from your breach of these Terms or your conduct as a Panha Buddy.
